Organizer Platform Terms (P2B)
The rules governing the professional relationship with the platform, including publishing, ranking, data access, suspension and termination.
1. Document status and the parties
These terms establish the rules governing professional use of the platform by organizers, promoters, and their representatives. They do not replace the framework agreement, financial schedules, mandate, PSP documents, or the legal and tax record for each event.
Platform operator: [LEGAL NAME - TO BE COMPLETED], Tax ID (CUI) [TO BE COMPLETED], trade register number [TO BE COMPLETED], registered office [TO BE COMPLETED], legal email address [TO BE COMPLETED]. The organizer is the entity validated during onboarding and identified in the account and event documents.
2. Eligibility and representative authority
- The organizer is an active entity, authorized to conduct its activities and capable of entering into contracts.
- The person who creates or uses the account has valid representative authority or verifiable authorization.
- Information concerning the entity, beneficial owner, VAT status, bank account, responsible persons, and history is accurate and current.
- Recurring commercial activity by an unauthorized natural person is not accepted automatically; isolated cases are subject to separate legal and tax review.
- The organizer completes KYB verification and PSP onboarding before sales are enabled.
3. Legal roles and hierarchy of documents
Under the recommended model, the organizer sells the admission service and is responsible for the event, while the platform provides technology and intermediary services under a mandate. The authorized PSP processes and settles funds according to the approved structure.
The framework agreement and signed schedules prevail for individual commercial conditions. The event record prevails for that event's approved date, venue, inventory, prices, and rules. No public page may implicitly transfer tax or legal obligations between the parties.
4. Professional account and portal use
- Access is personal, role-based, and limited to the assigned entity and events.
- Authentication links, exports, reports, and documents are not shared with unauthorized persons.
- The organizer must promptly notify the platform of a change of representative, a compromised address, suspicious access, or the end of a user's duties.
- Abusive automation, unauthorized data extraction, inventory manipulation, and circumvention of controls are prohibited.
- The platform may require MFA, additional checks, and access rotation according to risk.
5. Event submission, review, and publication
Submitting an event does not guarantee publication. Each event undergoes legal, tax, payment, inventory, and operational checks, and the platform may request additional documents or grant time-limited conditional approval.
An event will not go on sale without an identified organizer, eligible connected account, rights to the venue, capacity compatible with inventory, a tax configuration, and a fundable refund policy.
- Any material change to the date, venue, price, schedule, or terms creates a new version and may require reapproval.
- The organizer maintains the event file and tracks the deadlines for documents issued at a later date.
- The platform may refuse or stop publication due to false information, unacceptable risk, breaches, or missing documents.
6. Ranking, promotion, and differentiated treatment
The order of events may take into account search relevance, date and proximity, ticket availability, page completeness, audience interest, the quality and currency of information, compliance history, and editorial selection.
Paid placement, promotion of the platform's own events, or advantages granted to a partner must be labeled and explained. The final parameters, their relative importance, and any differentiated treatment are [TO BE COMPLETED AFTER VALIDATION OF THE PRODUCTION PRODUCT].
7. Access to data and reports
- The organizer sees only the data and metrics required for the assigned events and role.
- Other organizers' data, global settings, technical secrets, and unjustified customer data are not accessible.
- Reports may include sales, issued or cancelled tickets, refunds, chargebacks, scans, and reconciliation, according to the agreement and role.
- Exports are logged and may not be reused for marketing without a legal basis, notice, and, where applicable, separate consent.
- Following termination, data access and the closing export are governed by the agreement, legal obligations, and retention policy.
8. Moderation, suspension, delisting, and termination
- Potential grounds include incomplete KYB or PSP onboarding, expired documents, fraud risk, overselling, a negative balance, an unfunded refund, illegal content, repeated breaches, or an authority request.
- The measure is proportionate to the risk and may concern specific content, an event, settlement, or the entire account.
- The decision and reasons are communicated where permitted by law and the integrity of the investigation, together with the applicable challenge mechanism.
- In an emergency, sales or settlement may be stopped before the organizer responds in order to limit exposure.
- Termination does not extinguish obligations concerning sold tickets, refunds, chargebacks, taxes, confidentiality, and preservation of evidence.
9. Commercial conditions and services
Commission, VAT, PSP costs, the settlement schedule, reserve, support, and any promotional services are established in the agreement and accepted schedules. These terms neither publish nor modify individual values.
The organizer may not present the platform as a guarantor of sales, a funder of refunds, or a producer of the event unless such a role has been expressly contracted.
10. Content, rights, and compliance
- The organizer owns or has obtained the rights to the names, images, logos, posters, videos, and materials uploaded.
- The license granted to the platform is limited to listing, ticketing, support, agreed promotion, archiving, and reporting, for the necessary duration and through the necessary media.
- The organizer obtains the applicable permits, venue rights, and copyright or related-right licenses.
- Content that is illegal, misleading, discriminatory, dangerous, or infringes the rights of others may be rejected or removed.
- Notices concerning illegal content and offers are reviewed through the mechanism published by the platform.
11. Professional complaints and amendments to the terms
The organizer may challenge a decision, reporting error, or application of the terms through the professional channel [TO BE COMPLETED]. The complaint must identify the account, event, and challenged measure.
Amendments to the terms receive a version and a date. The notice period, exceptions for changes required by law, security, or fraud prevention, and P2B mediators, if mandatory, are [TO BE COMPLETED AFTER LEGAL VALIDATION].
12. Liability, indemnification, force majeure, and governing law
The platform's liability for its own technical errors is separate from the organizer's liability for the event, permits, venue, capacity, taxation, artists, materials, and non-performance. Final limitations must be proportionate and must not deprive essential obligations of their substance.
The organizer may owe compensation for loss arising from false information, missing rights or permits, failure to fund refunds, and breach of its obligations, within the limits of law and the agreement.
Force majeure, hardship, notices, governing law, court jurisdiction, or arbitration are [TO BE COMPLETED IN THE VALIDATED AGREEMENT].
